Constitution and By Laws
ARTICLE I
PURPOSE
Section 1 - Organization
We, the undersigned, do hereby jointly agree to organize a component society under Article IX of the Bylaws of the American Academy of Osteopathy. This organization shall be known as the Indiana Academy of Osteopathy and will be organized as a Domestic Nonprofit Corporation in the State of Indiana.
Section 2 - Affiliation
The Indiana Academy of Osteopathy, having thoroughly considered the sections which follow, adopts them as its basic operational guide and by doing so, evidences its desire to be recognized by the American Academy of Osteopathy as one of its Component Societies and evidences to its determination to conduct itself at all times and in all things in a manner compatible with the principles and objectives of the American Academy of Osteopathy.
Section 3 - Purposes Defined
The purposes of this society shall be to:
1. Develop the principles and practice of Osteopathic Manipulative Medicine and Neuromusculoskeletal Medicine in health care.
2. Arrange programs to teach Osteopathic thought, principles, and skills to individuals, members, groups, and organizations.
3. Seek out those members of the profession who have developed original and successful neuromusculoskeletal treatment modalities and to analyze these methods for teaching purposes.
4. Aid in publishing original papers.
5. Provide mentorship and guidance to Osteopathic medical students, interns, residents, and young physicians in Indiana.
6. Aid in every way all members of our profession in improving themselves with proper Osteopathic management of their patients.
7. Provide education to broaden the understanding of the Neuromusculoskeletal Medicine (NMM) specialty.
ARTICLE II
MEMBERSHIP
Section 1 - Makeup
Membership shall be restricted to licensed healthcare providers whose scope of practice would include manual treatment. Membership shall be open to Doctors of Osteopathic Medicine, Medical Doctors, Nurse Practitioners, Physician Assistants, Dentists, Physical Therapists, and their respective students, interns, and residents.
Section 2- Classes of Membership
Membership shall be divided into two classes: Physician Members and Non-physician Members
Physician Members- This would include Doctors of Osteopathic Medicine and Medical Doctors and their respective interns and residents.
This class of membership will have voting privileges at the annual meeting and can hold an office on the Board of Directors (BOD).
Interns and Residents will be restricted to the Intern/Resident slot on the BOD as put forth in Article III, Section II.
Non-physician Members- This would include Nurse Practitioners, Physician Assistants, Physical Therapists, Dentists, their respective students and residents, and students of schools of Medicine and schools of Osteopathic Medicine.
This class of membership will not have voting rights for electing members of the BOD and cannot hold an office on the BOD.
The exception to this would be the Student office on the BOD as put forth in Article III, Section II.
Section 3- Dues
Dues shall be imposed upon said membership according to the needs of the Indiana Academy of Osteopathy as determined by the BOD at the annual meeting.
While two distinct classes of membership have been laid out, the BOD may subdivide those classes further when determining dues (ex. a medical student’s dues might be less than a NPs while they are both Non-physician Members).
This will be for the purpose of collecting dues only.
ARTICLE III
BOARD OF DIRECTORS
Such officers and other leadership as seems necessary to the efficient conduct of the business of this organization shall be elected by the Physician Members at the annual meeting to hold office for one year.
This leadership will be known as the Board of Directors.
Section 1- Officers
The Indiana Academy of Osteopathy shall have as officers: President, Vice-President, Treasurer, Secretary, Resident Representative, and a Student Representative.
Section 2 – Officer Duties and Definitions
President- The president will be the chief executive officer of the organization and carry out the will of the membership.
The president will chair meetings of the BOD and be responsible for organizing courses and educational events or delegating that task to others.
The president may also elect members to the BOD for positions that did not fill in the election of officers.
Vice-President- The vice president will serve in the absence of the president and assume the presidency if the presidency becomes vacated.
The vice-president is also in charge of the yearly election of officers to the BOD.
Treasurer- The treasurer is responsible for maintaining the organization’s books or delegating that duty to a qualified individual.
The treasurer shall give a report on the financial health of the organization at the annual meeting and at the request of the president.
The treasurer will be responsible for filing appropriate paperwork with both federal and state tax agencies and for the collection of dues.
Secretary- The secretary shall keep record of meetings of the BOD and of the membership.
The secretary will be responsible for filing CME paperwork with the AAO/AOA when needed.
Resident Representative- This shall be a resident physician (DO or MD).This member will be allowed to attend the BOD meetings, join in discussion, and will have a vote.
Student Representative- This shall be a student from a school of Osteopathic Medicine or school of Medicine.
The student representative will be allowed to attend the BOD meetings, join in discussion, but will not have a vote.
Section 3- Elections
Election of officers shall happen at the first of every year.
All physician members will have a vote and students of Osteopathic Medicine and students of Medicine will be able to vote for their representative on the BOD.
The terms of the election and how it will be carried out will be determined by the Vice President.
ARTICLE IV
BOARD OF DIRECTORS MEETING
The Board of Directors will convene at least annually, with at least three of the voting members of the BOD necessary for a quorum.
ARTICLE V
FISCAL YEAR
The Fiscal Year shall run from January 1 to December 31 of each calendar year for book keeping purposes.
All checks cut by the Indiana Academy of Osteopathy must approved by three members of the Board of Directors.
ARTICLE VI
AMENDMENTS
No amendments to these By-Laws shall be considered to be in effect until approved by a ¾ majority of the voting members of the Board of Directors and by the Board of Trustees of the American Academy of Osteopathy.
No article or amendment shall be adopted in conflict with the American Academy of Osteopathy.
Membership
Membership in the Indiana Academy of Osteopathy is a yearly, dues-based program. The annual dues are:
• $50 for actively practicing physicians (this is a $25 membership fee and $25 to offset the cost of processing the CME’s)
• $25 for inactive or retired physicians ($25 membership fee, no CME’s)
• $10 for students ($10 membership fee, no CME’s)
Membership is included if you take one course per year from the IAO. For any subsequent courses in that fiscal year, your membership gets you a discount off the course fee.
Co-Sponsoring Courses
If you have an organization and you would like to obtain CME for your event, but need a co-sponsor, please contact us. We are happy to work with you to get the proper paperwork turned in and help you to get CME for your attendees.
Our fees are reasonable - $250 flat fee per course plus $10 per student to cover CME processing fees if we are not providing on-site assistance. If we are helping you with a course and you need our staff to assist you live on-site with sign-ins, etc. There will be an additional fee.
